Board Composition:
The Board structure is designed in order to represent the entire membership as fairly as possible and consists of:

  • 5 directors from Corporate Members (appointed by all of the Corporate Members);
  • 3 directors (appointed by all of the Associate and Individual members);
  • In addition to which there are up to 2 additional directors (appointed at the discretion of the entire Board).

Votes of Members:
The number of votes per member at General Meetings

  • Corporate Members present and entitled to vote at general meetings of the Association shall, for the purposes of such general meetings only, be entitled to exercise 30 votes each, either in person or by proxy.
  • Associate Members present and entitled to vote at general meetings of the Association shall, for the purposes of such general meetings only, be entitled to exercise 6 votes each, either in person or by proxy;
  • Individual members present and entitled to vote at general meetings of the Association shall, for the purposes of such general meetings only, be entitled to exercise 1 vote each, either in person or in proxy.

No vote if subscriptions/fees unpaid
If any annual subscription or additional fee presently payable by any Member is overdue, such member shall not be entitled to vote at any general meeting of the Association, whether in his or her own right or as a proxy for another person.
